These Terms of Service ("Terms") govern your access to and use of ClientGo (the "Service"), operated by Bode Software LLC ("Company," "we," "us," or "our"), a Maine limited liability company.
PLEASE READ THESE TERMS CAREFULLY. By creating an account or using ClientGo, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
IMPORTANT: These Terms contain a binding arbitration clause and class action waiver in Section 14, which affects your legal rights. Please read it carefully.

1. Eligibility
1.1 Age Requirement
You must be at least 16 years old to use ClientGo. By using the Service, you represent and warrant that you meet this age requirement.
1.2 Authority to Bind
If you are using ClientGo on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1.3 Account Restrictions
You may not use the Service if:
- You have been previously banned or removed from the Service
- You are prohibited from using the Service under applicable law
- You are located in a country subject to U.S. government sanctions
2. Account Registration
2.1 Account Creation
To use ClientGo, you must create an account by providing:
- A valid email address
- A secure password
- Your name
2.2 Account Responsibilities
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Ensuring your account information is accurate and current
- Notifying us immediately of any unauthorized access
2.3 Account Security
You agree to:
- Use a strong, unique password
- Not share your account credentials with others
- Log out of shared devices after using the Service
- Enable additional security features when available
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3. Description of Service
3.1 What ClientGo Provides
ClientGo is a lightweight client relationship and activity management application that helps you:
- Store and manage contact information
- Create and track activities (reminders and scheduled events)
- Receive email notifications and reminders
- Collaborate with team members (on applicable plans)
- Organize client interactions and follow-ups
3.2 Service Availability
We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:
- Scheduled maintenance (we will provide advance notice when possible)
- Emergency maintenance or security updates
- Factors beyond our control (internet outages, third-party service issues)
3.3 Service Modifications
We may modify, update, or discontinue features of the Service at any time. We will provide reasonable notice for significant changes that materially affect your use of the Service.
4. Subscription Plans and Billing
4.1 Subscription Plans
ClientGo offers subscription-based plans with different feature sets and usage limits. Details of current plans and pricing are available on our website.
4.2 Free Tier
We may offer a free tier with limited features and usage caps. Free tier users are subject to these Terms.
4.3 Paid Subscriptions
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select.
4.4 Billing
- Payments are processed securely through Stripe
- You authorize us to charge your payment method for all applicable fees
- Prices are listed in U.S. dollars unless otherwise specified
- Prices may change with 30 days' notice
4.5 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel at any time through your account settings.
4.6 Seat-Based Pricing
Team plans are billed per seat (user). Adding team members may increase your subscription cost.
4.7 Failed Payments
If a payment fails, we will:
- Notify you by email
- Attempt to charge your payment method again
- Suspend or downgrade your account if payment is not received within a reasonable period
5. Refund Policy
5.1 Annual Plans
Annual subscriptions are eligible for a full refund within 14 days of purchase or renewal. To request a refund:
- Contact us at support@clientgo.app within 14 days
- Include your account email and reason for the refund request
- Refunds will be processed to the original payment method within 5-10 business days
After 14 days, annual subscriptions are non-refundable.
5.2 Monthly Plans
Monthly subscriptions are non-refundable. You may cancel at any time, and your access will continue until the end of the current billing period.
5.3 Downgrades
If you downgrade to a lower-tier plan or free tier, no refunds will be issued for the unused portion of your current billing period.
5.4 Account Termination
If we terminate your account for violation of these Terms, you are not entitled to a refund.
6. User Content and Data
6.1 Your Data
You retain all ownership rights to the data you submit to ClientGo, including:
- Contact information
- Activity records
- Notes and descriptions
- Team information
6.2 License to Us
By using the Service, you grant us a limited, non-exclusive license to:
- Store and process your data to provide the Service
- Create backups of your data for disaster recovery
- Display your data to you and authorized team members
This license is solely for operating and improving the Service.
6.3 Data Portability
You may export your data at any time through your account settings or by contacting us.
6.4 Data Accuracy
You are responsible for the accuracy and legality of the data you submit. You represent that you have the right to store any contact information you add to the Service.
6.5 Privacy
Our collection and use of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
7. Acceptable Use
7.1 Prohibited Activities
You agree not to:
Misuse the Service:
- Use the Service for any illegal purpose
- Violate any applicable laws or regulations
- Infringe on the rights of others (intellectual property, privacy, etc.)
- Store or transmit malicious code or harmful content
Compromise Security:
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service's infrastructure
- Circumvent security measures or access controls
- Probe, scan, or test vulnerabilities without authorization
Abuse the Platform:
- Use the Service to send spam or unsolicited communications
- Scrape or harvest data from the Service
- Create multiple accounts to circumvent limits or bans
- Resell or sublicense access to the Service without permission
Store Prohibited Content:
- Content that is defamatory, obscene, or hateful
- Content that promotes violence or discrimination
- Sensitive personal data beyond what is necessary for client management
- Data you do not have the right to store or process
7.2 Enforcement
We may investigate violations and take appropriate action, including:
- Warning or suspending your account
- Removing content that violates these Terms
- Terminating your account
- Reporting illegal activity to law enforcement
8. Intellectual Property
8.1 Our Intellectual Property
ClientGo and its original content, features, and functionality are owned by Bode Software LLC and are protected by copyright, trademark, and other intellectual property laws.
The ClientGo name, logo, and all related marks are trademarks of Bode Software LLC. You may not use our trademarks without prior written consent.
8.2 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback into the Service without compensation to you.
9. Team Workspaces
9.1 Team Creation
Users on applicable plans may create team workspaces and invite others to collaborate.
9.2 Team Roles
- Admin: Can manage team settings, invite/remove members, and access billing
- Member: Can access shared contacts and activities within the team
9.3 Data Sharing in Teams
When you join a team workspace:
- Your name and profile are visible to other team members
- Contacts and activities you create may be visible to the team
- Team admins may manage or delete team data
9.4 Team Ownership
The team owner (typically the account that created the team) controls the team workspace. If you leave a team, data you created within the team may remain with the team.
10. Third-Party Services
10.1 Integrations
ClientGo may integrate with or rely on third-party services, including:
- Supabase for database and authentication
- Stripe for payment processing
- Resend for email delivery
10.2 Third-Party Terms
Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party services.
10.3 External Links
The Service may contain links to external websites. We do not control and are not responsible for external content.
11. Disclaimer of Warranties
11.1 "As Is" Basis
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
11.2 No Guarantees
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- Results obtained from the Service will be accurate or reliable
- The Service will meet your specific requirements
- Any errors or defects will be corrected
11.3 Disclaimer of Implied Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BODE SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Damages arising from your use or inability to use the Service
12.2 Cap on Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- The amount you paid us in the 12 months preceding the claim, or
- One hundred U.S. dollars ($100)
12.3 Exceptions
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the fullest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Bode Software LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any rights of another party
- Your content or data submitted to the Service
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. It affects your legal rights, including your right to file a lawsuit in court.
14.1 Informal Resolution
Before initiating arbitration, you agree to first contact us at support@clientgo.app to attempt to resolve any dispute informally. We will attempt to resolve the dispute within 30 days.
14.2 Binding Arbitration
If we cannot resolve a dispute informally, you and Bode Software LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court.
Arbitration shall be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.
14.3 Arbitration Procedures
- Arbitration will be conducted in English
- The arbitrator's decision will be final and binding
- Judgment on the arbitration award may be entered in any court of competent jurisdiction
- The arbitration will take place in Portland, Maine, or may be conducted remotely
14.4 Class Action Waiver
YOU AND BODE SOFTWARE LLC AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.
The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
14.5 Exceptions
The following disputes are exempt from arbitration:
- Claims that may be brought in small claims court
- Disputes regarding intellectual property rights
- Requests for injunctive relief to stop unauthorized use of the Service
14.6 Opt-Out
You may opt out of this arbitration agreement by sending written notice to support@clientgo.app within 30 days of first accepting these Terms. The notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
14.7 Governing Law
These Terms shall be governed by the laws of the State of Maine, United States, without regard to conflict of law principles.
15. Termination
15.1 Termination by You
You may terminate your account at any time by:
- Using the account deletion feature in settings
- Contacting us at support@clientgo.app
Upon termination, your right to use the Service will cease immediately.
15.2 Termination by Us
We may suspend or terminate your account at any time if:
- You violate these Terms
- You engage in fraudulent or illegal activity
- Your account is inactive for an extended period
- Required by law
- We discontinue the Service
We will provide notice when reasonably possible, except in cases of severe violations.
15.3 Effect of Termination
Upon termination:
- Your access to the Service will be revoked
- Your data will be handled according to our Privacy Policy
- Provisions that by their nature should survive (such as limitations of liability, indemnification, and arbitration) will remain in effect
16. Changes to Terms
16.1 Modifications
We may modify these Terms at any time. When we make changes:
- We will update the "Last Updated" date at the top
- For material changes, we will notify you by email or through the Service
- We will provide at least 30 days' notice for significant changes
16.2 Acceptance of Changes
Your continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bode Software LLC regarding the Service.
17.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
17.3 Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
17.4 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
17.5 Headings
Section headings are for convenience only and do not affect the interpretation of these Terms.
17.6 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights.
17.7 Force Majeure
We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet outages.
